Terms of Service

These terms govern your use of Knowtarium: the desktop app, its built-in MCP server, license keys and the website at knowtarium.com. Knowtarium is operated by Magentix Studio UG (haftungsbeschränkt), Kaiserring 14-16, 68161 Mannheim, Germany (see the Imprint).

By downloading the app, buying a license key or using the website, you agree to these terms.

Knowtarium opens OKF bundles (folders of markdown files) on your computer, shows who wrote and verified each document, and lets you edit documents and review changes. AI agents you use can work on the same files, and its optional MCP server lets agents without file access reach the bundle.

Everything runs on your computer. Knowtarium doesn't upload your documents to us, and it doesn't call AI models itself.

Using Knowtarium requires a license key, sold for a one-time price of $20 ($10 while pre-orders are open). There is no free version and no trial. A key unlocks every feature of the app.

• A license key is for you personally. You may activate it on up to 2 computers that you use yourself at the same time.
• Activating a computer needs an internet connection once. After that, the app checks your license on your computer and works offline.
• You can move your license to another computer by deactivating one in the app's settings, or by emailing us if a computer is lost or broken.
• The app shows the email address your license belongs to.
• Don't share or publish your key. If a key is published, we may block it and send a new one to the person who bought it.

Your key gives you the right to use Knowtarium as these terms describe. We keep all rights to the app itself, its software and its branding.

Before the first release you can pre-order a license key. We email your key right after you buy, and a second email with download links when the app is released; the key works from then on. Early versions may lack features described on the website; we'll say so in the release notes.

If we don't release the app, you get a full refund of your pre-order.

License keys are sold by Paddle, acting as merchant of record. Paddle is the seller of record for the transaction and handles checkout, payment, invoicing and VAT; its checkout terms apply to the purchase alongside these terms. Your use of Knowtarium itself is governed by these terms. Prices shown include VAT where applicable, and Paddle sends your receipt.

Withdrawal right (consumers)

If you buy as a consumer, you have a statutory 14-day right of withdrawal. If you activate your license key within those 14 days, you request immediate performance and acknowledge that you lose the right of withdrawal. The withdrawal process itself is handled through Paddle as merchant of record. A model withdrawal form is available on request from contact@magentix.studio. See Refunds for how refunds work in practice.

Your bundles stay on your computer and remain yours. We have no access to them. Knowtarium changes a file only when you act (for example, approving a change adds you to its verified field) or when an agent you connected writes through the MCP server.

Agents you connect act on your behalf, under their own providers' terms. Keep backups of your bundles; a folder under version control or a sync service is a good start.

You agree to:

• use Knowtarium only for lawful purposes;
• not share, sell or publish license keys;
• not remove, bypass or reverse engineer the license check, or circumvent the device limit;
• not probe, overload or disrupt our license, activation or download services;
• not distribute modified copies of the app.

OKF is an open format published by Google Cloud. Knowtarium is independent and isn't affiliated with or endorsed by Google. AI agents and MCP clients you use with Knowtarium are provided by third parties under their own terms.

Knowtarium includes open-source components, which are licensed under their own licenses.

Your license key unlocks every version 1.x release. If we ever release a version 2 at a separate price, your key keeps unlocking version 1.x.

We may release updates that add, change or remove features. We don't guarantee that the app works on every operating system version, or that it will be updated indefinitely. The app keeps working with the version you have installed.

Activating a computer and downloading the app use our online services. We aim for high availability, but these services are provided without an uptime guarantee.

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. For slight negligence we are liable only for breach of essential contractual duties (duties whose fulfilment makes proper performance of the contract possible at all and on whose observance you may regularly rely), and in that case limited to the foreseeable damage typical for this kind of contract. Any further liability is excluded. This does not shift the burden of proof to your disadvantage.

You can stop using Knowtarium at any time. We can end your license without notice for good cause, such as a serious or repeated breach of these terms (for example bypassing the license check or the device limit). In that case we block your key, so it can no longer activate computers. Your statutory rights remain unaffected.

We may change these terms for good reason, such as legal changes or new features. Changes never take away a license you already bought. The date at the top shows when the terms last changed.

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of mandatory protections of the law of your habitual residence. If you are a merchant, the place of jurisdiction is Mannheim.

We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).

If any provision of these terms is invalid, the rest stays in effect.
